IMPORTANT: This agreement contains a mandatory arbitration provision and a class action waiver that affect your legal rights. Please read these Terms carefully before using the Platform.

These Terms of Service ("Terms") govern your access to and use of the Property Prospect website, platform, software applications, databases, and related services (collectively, the "Platform") operated by Property Prospect ("Company," "we," "our," or "us"). By creating an account, accessing the Platform, or using any services provided through the Platform, you represent that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

1. PLATFORM SERVICES

Property Prospect provides a software platform designed to assist real estate professionals with property research, lead management, deal tracking, marketing automation, analytics, and related real estate business operations.

The Platform may include tools for property lookup, ownership records, lead tracking, communications management, artificial intelligence features, analytics dashboards, marketing campaigns, and deal sharing.

Property Prospect is a technology platform only. Property Prospect does not act as a real estate broker, lender, financial advisor, legal advisor, or licensed professional in any jurisdiction. Property Prospect does not participate in transactions between users and third parties.

2. ELIGIBILITY

You must be at least eighteen (18) years of age to access or use the Platform. By using the Platform, you represent and warrant that you have the legal authority to enter into this agreement and that your use of the Platform complies with all applicable laws.

3. ACCOUNT REGISTRATION

Access to certain Platform features requires the creation of an account. You agree to provide accurate and complete information during registration and to maintain the accuracy of such information.

You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities conducted under your account.

4. ACCOUNT OWNERSHIP

If an account is created on behalf of a business entity, that entity shall be considered the account owner.

In the event of a dispute regarding account ownership, Property Prospect reserves the right to determine ownership based on factors including, but not limited to:

  • billing history
  • account creation information
  • documentation demonstrating ownership of the associated business

Property Prospect is not obligated to adjudicate ownership disputes and may suspend the account until the dispute is resolved.

5. COMPETITOR ACCESS PROHIBITION

You may not use the Platform if you are a direct competitor of Property Prospect or if you intend to access the Platform for purposes of developing, marketing, or operating a competing product or service.

Property Prospect reserves the right to terminate accounts believed to be operated by competitors or individuals acting on behalf of competitors.

6. LICENSE TO USE PLATFORM

Subject to these Terms, Property Prospect grants you a limited, non-exclusive, revocable, and non-transferable license to access and use the Platform solely for lawful business purposes.

This license does not grant any ownership interest in the Platform or its underlying software.

7. SUBSCRIPTIONS AND FEES

Certain features of the Platform require paid subscriptions.

Subscriptions may be billed monthly or annually and may renew automatically unless canceled prior to the renewal date.

Property Prospect reserves the right to modify subscription pricing, billing structures, or feature availability at any time.

8. CREDIT-BASED SERVICES

Certain services on the Platform operate using credits. Credits may be required for services including but not limited to property lookups, ownership lookups, and mailing services.

Credits have no monetary value outside the Platform and are non-transferable and non-refundable once purchased.

Property Prospect reserves the right to modify credit pricing, credit expiration policies, or credit usage requirements at any time.

9. FAIR USE POLICY

Certain features of the Platform may be described as "unlimited." Such usage is subject to reasonable fair use limitations.

If Property Prospect determines, in its sole discretion, that a user's activity places excessive demand on the Platform infrastructure or negatively impacts other users, Property Prospect reserves the right to throttle, limit, suspend, or terminate such usage.

10. PLATFORM MODIFICATIONS

Property Prospect reserves the right to modify, suspend, discontinue, or remove any portion of the Platform at any time without notice.

You acknowledge that your purchase or use of the Platform is not contingent upon the continued availability of any particular feature.

11. ACCEPTABLE USE

You agree not to use the Platform in any manner that violates applicable laws or regulations or infringes upon the rights of others.

Prohibited activities include, but are not limited to:

  • scraping or harvesting data
  • introducing malicious software
  • engaging in fraudulent activities
  • impersonating another person or entity
  • interfering with the operation of the Platform

Property Prospect reserves the right to suspend or terminate accounts engaged in prohibited activities.

12. DATA USAGE RESTRICTIONS

Users may not extract, replicate, redistribute, or resell platform data without prior written permission.

The creation of derivative databases or competing services using data obtained from the Platform is strictly prohibited.

13. COMMUNICATION SERVICES AND LEGAL COMPLIANCE

The Platform may provide tools enabling users to send communications such as emails, text messages, or phone calls.

You acknowledge that Property Prospect does not initiate or control such communications.

You are solely responsible for compliance with applicable laws governing communications, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable telemarketing regulations.

14. THIRD-PARTY SERVICES

The Platform may integrate with third-party services including communication providers, data providers, and marketing tools.

Property Prospect is not responsible for the performance, reliability, or accuracy of third-party services.

15. THIRD-PARTY DATA DISCLAIMER

Property information and ownership data displayed on the Platform may originate from third-party data providers.

Property Prospect does not guarantee the accuracy or completeness of such data.

Users are responsible for independently verifying all information before relying upon it.

16. ARTIFICIAL INTELLIGENCE FEATURES

The Platform may include artificial intelligence tools designed to assist users in analyzing data or generating content.

AI-generated outputs may contain inaccuracies or incomplete information.

Users are responsible for reviewing and validating all AI-generated outputs before relying upon them.

17. USER CONTENT

Users may upload or share content including property listings, deal descriptions, and related materials.

By submitting content to the Platform, you grant Property Prospect a non-exclusive license to host and display such content for purposes of operating the Platform.

18. INTELLECTUAL PROPERTY

All software, technology, and content comprising the Platform are the intellectual property of Property Prospect or its licensors.

Users may not reproduce, distribute, reverse engineer, or create derivative works from the Platform without written permission.

19. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

PROPERTY PROSPECT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTY PROSPECT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

PROPERTY PROSPECT'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO PROPERTY PROSPECT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

21. INDEMNIFICATION

You agree to indemnify and hold harmless Property Prospect and its officers, employees, and affiliates from any claims arising from your use of the Platform or violation of these Terms.

22. TERMINATION

Property Prospect may suspend or terminate your account at any time if you violate these Terms or engage in activities that present legal or operational risk.

23. LIMITATION ON TIME TO FILE CLAIMS

Any claim arising out of or relating to the Platform must be filed within six (6) months after the event giving rise to the claim.

Claims filed after this period shall be permanently barred.

24. DISPUTE RESOLUTION

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association.

Arbitration shall take place in Fredericksburg, Virginia.

25. CLASS ACTION WAIVER

All disputes must be resolved individually.

You waive the right to participate in any class action proceeding.

26. GOVERNING LAW

These Terms shall be governed by the laws of the Commonwealth of Virginia.

27. VENUE

If arbitration is deemed unenforceable, disputes shall be resolved exclusively in the courts located in Spotsylvania County, Virginia.

28. CHANGES TO TERMS

Property Prospect reserves the right to modify these Terms at any time.

Continued use of the Platform following updates constitutes acceptance of the revised Terms.
